Art. 65 Exceptions aux obligations des entités et constructions juridiques | Anti-money laundering regulation (AMLR) | AML

This article carves out exemptions from the beneficial ownership registration and information-holding obligations established in Articles 63 and 64.

It identifies two categories of entities that are not required to comply with those rules: certain publicly listed companies and bodies governed by public law.

For listed companies, the exemption is conditional — it only applies where control is held exclusively by natural persons through voting rights, with no other legal entities or legal arrangements in the ownership or control structure.

Les articles 63 et 64 ne s’appliquent pas:

aux sociétés dont les titres sont admis à la négociation sur un marché réglementé, pour autant:
1. que le contrôle de la société soit exercé exclusivement par la personne physique disposant des droits de vote;
2. qu’aucune autre entité juridique ou construction juridique ne fasse partie de la structure de propriété ou de contrôle de la société; et
3. pour les entités juridiques étrangères relevant de l’article 67, qu’il existe des exigences équivalentes à celles visées aux points i et ii) du présent point conformément aux normes internationales;
aux organismes de droit public au sens de l’article 2, paragraphe 1, point 4), de la directive 2014/24/UE du Parlement européen et du Conseil(⁴³).
